I cannot remember any such requirement to become a "registered company" as a prerequisite to becoming an LIR. I may be wrong.
I've heard about this before (the local university computing centre had major problems becoming a LIR due to it not being a recognized legal entity on its own). As far as I understood, the rationale is "make sure that traceability of resources to well-known organizations exists", which requires proof of existance. Or so. I'm not sure when this came into being, maybe together with the introduction of the organization: objects.
