[GM] Redistribution of RIPE NCC Surplus to Members

Dear colleagues, At the General Meeting (GM) on 18 November 2015, the RIPE NCC membership will vote on whether or not to redistribute the expected financial surplus for 2015 via a rebate to members. This follows the membership’s approval of an updated Standard Service Agreement (SSA) in November 2014 that allows members to decide annually on the allocation of the RIPE NCC surplus or deficit. The November 2015 GM is the first time the members will be asked to vote on this redistribution, so I would like to outline how this process will work. A renewed tax ruling with the Dutch tax authorities meant that the RIPE NCC would have to pay corporate income tax of about 25% on any surplus it made annually from 2015 onwards. However, the authorities agreed that the surplus could be reduced to zero by paying an amount equal to the surplus to members as a rebate if they choose to do so. In 2015, the RIPE NCC surplus is expected to be approximately EUR 4.2 million, The exact figure will not be known until after the annual external audit has taken place. If the General Meeting rejects the resolution to redistribute the surplus to members, approximately EUR 1 million (assuming a EUR 4.2 million surplus) would be paid in corporate income tax and the rest of the surplus would be added to the RIPE NCC Clearing House (reserves). If members approve the resolution to redistribute the surplus, the following process would take place: - The final exact amount to be rebated will be determined at the end of December 2015 to approximate the surplus as closely as possible - All those who are members by 31 December 2015 will be entitled to the rebate according to the formula (set out below) - The amount to be rebated to each member will be based on the annual fee paid for all LIR accounts they hold – this includes annual service fees and Provider Independent (PI) resource assignment fees but does not include sign-up fees - Members that joined the RIPE NCC after the first quarter of 2015 will receive a pro rata rebate that corresponds to the service fee paid - The rebate will be included on the 2016 invoices – all members will therefore receive an invoice that shows the service fee for 2016 (EUR 1,400), any PI assignment fees they might have and the rebate marked as a discount on the invoice - Members that close before 31 December 2015 will not receive a rebate - Members that merge before 31 December 2015 will receive only one rebate - The formula that will be used to decide each member’s individual rebate is: Annual fee paid by member / Total annual fee paid by all members X Total rebate amount = Individual member rebate In an example where the surplus is EUR 4.2 million and where a member holds one LIR account and has no PI assignments, the formula would apply as follows: 1,600 / 20,500,000 X 4,200,000 = EUR 327.80 According to the formula, each EUR 50 PI assignment paid as part of the annual fee would result in a rebate of approximately EUR 10.24. For a member with 100 PI assignments, the formula would apply as follows: 1,600 + 5,000 / 20,500,000 X 4,200,000 = EUR 1,352.20 The membership will decide on the surplus redistribution at the upcoming GM. Dear colleagues, The RIPE NCC Executive Board held its 102nd meeting on 2 October 2015. The following is a summary of the main items from the meeting. Further details are available in the minutes: - The Board approved several documents: updated Due Diligence Document, Inter-RIR Transfer Templates, updated Arbitration Procedure. - The RIPE NCC Management presented a financial outlook 2015-2017 and stress test to the Board. Dear colleagues, The RIPE NCC procedural document, "Due Diligence for the Quality of the RIPE NCC Registration Data", has been updated. The document, ripe-657, is available at: https://www.ripe.net/publications/docs/due-diligence The RIPE NCC has a mandate from the RIPE community to keep an up-to-date and correct Internet number resource registry. In order to comply with this mandate, the RIPE NCC performs due diligence on organisations the RIPE NCC registers Internet number resource for. The due diligence document outlines the minimum information and documentation the RIPE NCC requires to make sure that the registration data is valid and up-to-date. The document contains a new section relating to sanctions and areas under dispute that was added following a review of our procedures. [news] NRO Statement on IANA Stewardship Transition and ICANN Accountability

This message is sent on behalf of the Number Resource Organization (NRO) ------------------------------------------------------------------------------------------------------ NRO STATEMENT ON IANA STEWARDSHIP TRANSITION AND ICANN ACCOUNTABILITY The NRO has worked to ensure that to the extent possible, relationships between ICANN, RIRs and the global numbering communities are established in formal relationships that provide necessary definition and separation of responsibilities. The number community proposal for IANA oversight transition relies on these existing relationships, and builds on them to ensure that responsibilities, commitments and accountabilities are clear and robust in the post-transition environment. Regarding our expectations of ICANN accountability: in our relationships with ICANN, we have and will continue to rely upon binding agreements as the primarily mechanism for ICANN accountability to the numbers community. Regarding organisational models for ICANN accountability, the NRO notes that two legal memos [1][2] reached the conclusion that ICANN currently uses a “Designator” model for appointment of Directors, and that the designators currently have the power to remove the Directors that they appoint. We also note that both legal memos pointed out gaps in the current ICANN bylaws, and one of them was associated with concrete suggestions for bylaw changes to address the identified gaps [3]. The NRO believes that a clarification and formalisation of ICANN’s existing designator structure via the “Empowered SO/AC Designator” model (as referenced in the CCWG-Accountability “2nd Draft Proposal on Work Stream 1 Recommendations” [4]) is the most straightforward approach to provide ICANN structural accountability to the community. We believe that the ability for designator organisations (SOs, ACs, and the NomCom) to remove and replace their designated Directors would provide a sufficient mechanism for enforcement of the desired community powers. However, we are able to support any accountability reform proposal which preserves and ensures ICANN’s ability to perform in accordance with our agreements, providing also that they are consistent with the successful IANA stewardship transition in the time available. The NRO is fully committed to the completion of the current IANA stewardship transition as a desirable and necessary evolution of the current ICANN and IANA models. Indeed, this is an overdue development that we have explicitly supported in several prior public statements. We therefore urge the global multistakeholder community to continue the work to converge on a mutually acceptable accountability reform proposal, which needs to achieve only the following: – Satisfying immediate concerns over ICANN accountability – Allowing the IANA transition to take place within the expected timeframe – Ensuring that ICANN evolution can and will continue in future. Finally we recognise the ongoing efforts by the CCWG and the ICANN Board to arrive to a successful conclusion of the work which is necessary for the IANA transition to occur. It is important that all of these efforts be fully respectful of the work of the community and that any discrepancies be dealt with in a true and amicable multistakeholder fashion. [news] RIPE NCC Receives a /14 from IANA's Recovered IPv4 Pool

Dear colleagues, Yesterday, on 2 September 2015, the RIPE NCC and other Regional Internet Registries (RIRs) were each allocated a /14 of IPv4 address space from the Internet Assigned Numbers Authority (IANA). The RIPE NCC received the IPv4 address ranges 45.66.0.0/15, 139.28.0.0/16 and 152.89.0.0/16. We are currently adding this to our available pool. Following the exhaustion of IANA's free pool of IPv4 addresses in 2011, when the RIRs received their final /8s, a global policy caused IANA to create a recovered pool of leftover and returned IPv4 address blocks. This policy was ratified by all five RIR communities in 2012 and stated that IANA would begin making equal, periodic allocations from the recovered pool when the first RIR reached a /9 of remaining addresses. This point was reached by LACNIC, the RIR for Latin America and the Caribbean on 20 May 2014, triggering the global policy and the first post-exhaustion allocation from IANA. The RIPE NCC will continue to distribute these according to the current last /8 policy, under which Local Internet Registries (LIRs) may receive a one-time /22 allocation (1,024 addresses). The three-year term of Dmitry Kohmanyuk ends on 31 December 2015. The election to the NRO NC seat will take place during the Plenary at the RIPE 71 Meeting to be held in Bucharest from 16-20 November 2015. All members of the Internet community who are present at that Plenary may vote in the election. The deadline for nominations is 16 October 2015. Any individual residing within the RIPE NCC service region is eligible for nomination, except Regional Internet Registry (RIR) staff members. Self-nominations are permitted. One of the key elements of the Internet Number Community proposal is to replace the current NTIA IANA agreement with a new contract, a Service Level Agreement (SLA) between the IANA Numbering Services Operator and the five RIRs. A first draft of the SLA was produced on 1 May 2015 and opened for public comments until June 14th 2015. The first draft of the SLA is available at: https://www.nro.net/sla-v1 Discussions about the development of the SLA have occurred in all RIR meetings at: APNIC 39 (2-6 March 2015), ARIN 35 (12-15 April 2015), RIPE 70 (11-15 May 2015), LACNIC 23 (18-22 May 2015) and AFRINIC 22 (3-5 June 2015). It responds to the principles included in the Internet number community proposal and is based on the already existing provisions of the NTIA IANA agreement. The content of this draft is NOT the result of negotiations with ICANN or any other parties. It is written in such a way so that it can be signed as part of the implementation of the IANA transition when this occurs or before, without pre-judging the outcome of the ICG coordinated proposal. The draft includes legally important provisions, such as those that regulate the five RIRs acting together and being responsible collectively before ICANN. It includes background and definitions. This draft SLA also includes explanatory footnotes that reference the source of each article according to the Internet number community proposal principles or the NTIA IANA agreement. Next Steps During this final public comment period, the CRISP team is encouraged to review the draft SLA and its consistency with the principles of the Internet number community proposal. ICANN in particular is encouraged to review the draft in detail, and to submit any and all final comments during this period. All comments received by the deadline will be processed by the legal team of the RIRs and, as appropriate, included in a further and final draft of the SLA which will be presented to ICANN as the proposed final SLA. It is hoped that this document will be agreed by ICANN without further changes.

You can find the proposal here: https://www.icann.org/en/system/files/files/ccwg-draft-2-proposal-work-stre… In a previous public comment period in May 2015, CCWG-Accountability sought feedback on the direction of its proposal and preferences among the alternatives that were proposed. CCWG-Accountability has incorporated this input and is now seeking agreement on whether or not the proposal meets the community’s requirements. The comment period closes on 12 September 2015 at 23:59 UTC. A service level agreement between ICANN and the RIRs would be used to ensure that the IANA functions continue to be performed to the Number Community’s requirements. An independent review panel, made up of representatives from each RIR community, periodically reviews ICANN’s performance in meeting these identified service levels. Key priorities here were ensuring stability, security, reliability, quality of service and community empowerment. The community is very satisfied with ICANN’s performance as IANA Functions Operator and, as ICANN’s role is lightweight and purely administrative, there was no need for the proposal to introduce additional operational complexity.
